Filing your California LLC

California LLCs are formed by filing Articles of Organization with the California Secretary of State. Filing is usually done online through the bizfile system. State fees change from time to time, so confirm the current amount when you file.

Next, you must file a Statement of Information within 90 days of formation. After that, it is due every two years. Missing it can lead to penalties and, eventually, suspension.

Name and agent

The $800 annual franchise tax

California charges every LLC an annual minimum franchise tax of $800, whether or not the business makes money. A temporary first-year exemption applied to LLCs formed in 2021 through 2023, but it has ended. Consequently, new LLCs should budget for the tax from the start.

California also charges an additional LLC fee once total California income passes $250,000, on a sliding scale. Therefore, growing businesses pay more.
